Salarium Terms of Use

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT CONTAINS AN AGREEMENT TO ARBITRATE, WHICH REQUIRES THAT YOU AND SALARIUM ARBITRATE CERTAIN CLAIMS BY BINDING, INDIVIDUAL ARBITRATION INSTEAD OF GOING TO COURT AND LIMITS CLASS ACTION CLAIMS, UNLESS YOU OPT OUT AS DESCRIBED IN THE ARBITRATION SECTION (SEE SECTION 15).

1. Acceptance of Terms

This Terms of Use Agreement ("Agreement") is a legal agreement between you ("Customer," "you," or "your") and Salarium ("Company," "we," "us," or "our") governing your use of the Salarium digital wallet, money transfer, and related payment services (the "Services"), accessed via our website(s), mobile applications, or authorized agent locations.

By registering for, accessing, or using the Services, or by clicking a box indicating your acceptance, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy, incorporated herein by reference. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Definitions

  • "Account" means your Salarium digital wallet account.
  • "Customer Data" means any data, including Personal Information, you submit to the Services.
  • "Identification Codes" means your username, password, PIN, or other credentials.
  • "Payment Instrument" means your linked funding source, such as a bank account, debit card, or credit card.
  • "Recipient" is the person or entity designated by you to receive funds.
  • "Salarium Wallet" means the stored value account held in your name.
  • "Sender" is you, when you use the Service to send money or pay a bill.
  • "Service" means all activities related to the Salarium Wallet, including storing funds, sending/receiving money, domestic/international transfers, remote check capture, cash withdrawals, and using the Salarium debit card.
  • "Transaction" is a specific instruction to send, receive, or transfer money.

3. Description of Service & Company Commitments

Salarium commits to providing a digital wallet and payment service that enables you to:

  • Deposit Funds: Load your Salarium Wallet via ACH transfer, wire transfer, or remote check capture.
  • Store Funds: Maintain a stored value balance in your Salarium Wallet.
  • Send & Receive Money: Transfer funds to and from other Salarium customers.
  • Domestic & International Transfers: Send money to Recipients domestically and internationally via bank deposit, cash pickup, or mobile wallet.
  • Cash Access: Withdraw cash from your Wallet balance at authorized agent locations and ATMs using your Salarium debit card.
  • Debit Card: Make purchases and withdrawals using the Salarium-branded debit card linked to your Wallet.

4. Use of the Service

You agree to use the Service only for personal, family, or business purposes and not for any illegal or prohibited activities, including but not limited to: fraud, money laundering, terrorist financing, or the purchase of illegal goods. We may refuse, suspend, or cancel any Transaction or Account we suspect of violating this Agreement or applicable law.

5. Authorization and Instructions

You authorize Salarium to accept and process any Instruction sent using your Identification Codes. You are solely responsible for the accuracy of Transaction details (e.g., Recipient name, account number). We are not obligated to verify the authority or authenticity of any Instruction given with your credentials. Our records of your Transactions shall be conclusive evidence of your Instructions.

6. Fees, Charges, and Foreign Exchange

You agree to pay all applicable fees for Transactions, which will be disclosed to you before you authorize a Transaction. For Transactions involving currency exchange, the rate is set by Salarium at the time of the Transaction. Any difference between the rate offered to you and the rate received by Salarium is our property. You are responsible for any fees charged by your financial institution related to your Payment Instruments.

7. Transaction Payouts

Recipients may be required to provide valid identification and a Transaction number to receive funds. You appoint your Recipient as your agent for the purpose of receiving funds. We are not responsible for funds sent to incorrect or inaccurate account information provided by you.

8. Remote Check Capture

You may deposit checks remotely by capturing images via our mobile application. You agree that you will not deposit a check that is not payable to you, and that all checks are endorsed as instructed. Funds from check deposits may be subject to holds as permitted by law.

9. Security

You are responsible for maintaining the confidentiality of your Identification Codes and for all Transactions initiated under your Account. You must immediately notify us of any unauthorized access or Transaction by calling 678-310-0700 or emailing security@salarium.ai. Failure to notify us promptly may increase your liability.

10. Errors and Cancellations

If you believe there is an error, you must contact us within 180 days of the Transaction. You may cancel a Transaction for a full refund within 30 minutes of authorization, unless the funds have been picked up or deposited. Unclaimed transfers will be cancelled after a period of time, and refunds may be subject to a service charge.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. SALARIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE SIX MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $500, WHICHEVER IS GREATER.

12. Intellectual Property

All content, trademarks, and logos associated with the Service are the property of Salarium. You are granted a limited license to access and use the Service for its intended purposes and may not copy, modify, or create derivative works without our express permission.

13. Indemnification

You agree to defend, indemnify, and hold harmless Salarium, its affiliates, and service providers from any claims, damages, or losses arising from your breach of this Agreement or your use of the Service.

14. Governing Law

This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of laws principles.

15. Agreement to Arbitrate (Please Read Carefully)

  1. Binding Arbitration: You and Salarium agree to resolve any disputes through final and binding arbitration on an individual basis, rather than in court. This includes any claims based in contract, statute, or regulation.
  2. No Class Actions: You may only bring claims in your individual capacity and not as a plaintiff or class member in any class or representative action.
  3. Arbitration Rules: The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Rules.

16. General Provisions

We may modify this Agreement at any time. Continued use of the Service after changes constitutes acceptance. If any provision is found unenforceable, the remainder of the Agreement remains in effect. This Agreement constitutes the entire understanding between you and Salarium regarding the Service.
